1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a binding legal agreement between you and Virexa Technologies ("Company," "we," "us," "our," "Virexa Private," or "Virexa Private"). By downloading, installing, accessing, or using the Virexa Private application and all related services, features, and content (collectively, the "Service"), you acknowledge that:

• You have read, understood, and agree to be bound by these Terms
• You agree to comply with all applicable laws and regulations in your jurisdiction
• You accept our Privacy Policy, which is incorporated by reference into these Terms
• If you do not agree to these Terms, you may not access or use the Service

These Terms are a legal contract and supersede all previous negotiations, agreements, understandings, and representations regarding the Service.

2. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified via email (if available) and/or through the Service with at least 30 days prior notice.

Continued use of the Service after modifications take effect constitutes your acceptance of the updated Terms. If you do not accept material modifications, you may terminate your account per Section 10. For non-material changes, we may provide notice with a shorter timeframe or simultaneously with implementation.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

• Minimum Age: You must be at least 18 years old to use Virexa Private. Children are not allowed.
• No Minors: There is no parental-consent path for anyone under 18. The Service is 18+ only.
• Age Verification: We verify age using date of birth at signup and may request additional proof of age.
• Violation Consequences: Accounts created by anyone under 18 will be terminated, associated data deleted, and that person banned from creating a new account.

3.2 Account Creation and Information

To create and maintain an account, you must:

• Select a unique username that does not impersonate others or violate intellectual property rights
• Create a secure password and keep it confidential
• Optionally provide an email address for account recovery and important communications
• Provide accurate, complete, and truthful information (if information is requested)
• Accept these Terms and the Privacy Policy
• Comply with all laws in your jurisdiction

3.3 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activity conducted under your account
• Immediately notifying us of unauthorized access: Security@Resent.app
• Regularly updating your password and using strong security practices

We are not liable for unauthorized access due to your failure to maintain password confidentiality or security.

3.4 Prohibited Account Conduct

You agree not to:

• Use false, fraudulent, or misleading identification or information
• Impersonate any person or entity, including Virexa Private employees
• Create multiple accounts for evasion, manipulation, or abuse purposes
• Transfer, sell, or share your account with another person
• Violate any laws, regulations, or these Terms through your account
• Use your account for commercial purposes or business resale

4. LICENSE GRANT AND USAGE RESTRICTIONS

4.1 Limited License

Subject to these Terms and our Privacy Policy, Virexa Technologies grants you a limited, non-exclusive, non-transferable, non-assignable, and revocable license to access and use Virexa Private for personal, non-commercial communication purposes only.

4.2 Prohibited Uses

Without limiting other restrictions, you may not:

• Use the Service for commercial or business purposes (including resale, redistribution, or integration into commercial products)
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or proprietary methods of Virexa Private
• Create derivative works, modifications, adaptations, or translations of Virexa Private
• Remove, obscure, or alter proprietary notices, labels, or trademarks
• Circumvent, disable, or interfere with security features, encryption, or access controls
• Attempt unauthorized access to Virexa Private's servers, systems, or networks
• Probe, scan, test, or exploit vulnerabilities without authorization (except through authorized bug bounty programs)
• Use automated tools, bots, scrapers, or scripts to access or use the Service
• Interfere with or disrupt the Service's functionality or servers
• Exceed reasonable bandwidth usage limits

4.3 Intellectual Property Rights

Virexa Private, including all software, code, algorithms, user interfaces, documentation, graphics, and trademarks, is the exclusive proprietary property of Virexa Technologies or our licensors. All intellectual property rights are reserved.

You may not use Virexa Private's name, logo, or trademarks without our prior written permission. Your use of the Service does not grant you ownership or rights in Virexa Private.

4.4 Your Content and Submissions

Ownership: You retain all rights, title, and ownership of messages, media files, documents, and content you create and transmit through Virexa Private ("Your Content").

Limited License to Virexa Private: By sending Your Content through the Service, you grant Virexa Private a limited, non-exclusive license to:

• Transmit Your Content to intended recipients
• Store Your Content in encrypted form on servers to facilitate delivery
• Process and route Your Content as technically necessary

Virexa Private does not use Your Content for any purpose beyond transmitting it to intended recipients. We do not use your messages for marketing, training, or analytics.

Feedback and Suggestions: If you provide feedback, suggestions, or reports about the Service, you grant Virexa Private the right to use this feedback freely without compensation, attribution, or restriction.

5. PROHIBITED CONTENT AND CONDUCT

You agree not to transmit, upload, share, distribute, or store through Virexa Private:

• Illegal Content: Material that violates applicable laws in any jurisdiction where you or the recipient resides
• Harassment and Abuse: Threats of violence, intimidation, stalking, harassment, or abuse targeting any individual
• Hate Speech and Discrimination: Content promoting violence, discrimination, or hatred based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or other protected characteristics
• Child Sexual Abuse Material (CSAM): Any content involving minors in sexual contexts
• Non-Consensual Sexual Content: Intimate images or videos shared without consent ("revenge porn")
• Exploitation of Minors: Content sexualizing, endangering, or exploiting children
• Misinformation and Disinformation: Deliberately false or misleading information designed to cause harm
• Malware and Hacking: Malicious code, viruses, worms, or tools facilitating unauthorized access
• Spam and Manipulation: Unsolicited bulk communications, phishing, pyramid schemes, or manipulative social engineering
• Intellectual Property Infringement: Copyright, trademark, patent, or trade secret infringement
• Impersonation: Assuming identity of another person to deceive or defraud
• Doxxing: Publishing private personal information to facilitate harassment
• Illegal Transactions: Content facilitating illegal sales (drugs, weapons, stolen goods, human trafficking)

Enforcement and Monitoring:

Due to Virexa Private's end-to-end encryption, we cannot monitor encrypted message content. However, we may:

• Monitor account creation patterns and metadata for abuse signals
• Analyze metadata (timestamps, connection patterns, frequency of contacts) to detect abuse
• Respond to user reports of abuse and take enforcement action
• Disable accounts engaged in abuse, spam, or illegal activity
• If required by valid legal process, produce only username and last-seen timestamps. We cannot reproduce messages, call history, the people book, or account access because we do not collect that information
• Cooperate with law enforcement regarding child safety and imminent danger

Enforcement Actions: Violation of content policies may result in:

• Account suspension or termination
• Removal of content
• Reporting to law enforcement
• Loss of access to the Service
• Legal liability

You acknowledge that due to encryption, user reports are the primary mechanism for enforcement of content policies.

6. DISCLAIMERS AND LIMITATION OF LIABILITY

6.1 "AS-IS" SERVICE DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESENT MESSENGER AND ALL SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties of uninterrupted, error-free, or secure service
• Warranties that defects will be corrected or that the Service will meet your expectations
• Warranties regarding accuracy, reliability, or availability of information

6.2 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTRA TECHNOLOGIES PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, savings, data, or business opportunities
• Service interruptions, unavailability, or downtime
• Security breaches, unauthorized access, or data loss
• Third-party conduct, content, or interactions
• Damages exceeding the total amount you paid (if any) in the 12 months preceding the claim

Some jurisdictions do not permit limitation of certain types of liability. These limitations apply to the fullest extent permitted by law in your jurisdiction.

6.3 Important Limitations

You assume all risks associated with use of the Service, including:

• Data loss or corruption
• Unauthorized access or use of your account
• Service interruptions or technical failures
• Communications being intercepted (though end-to-end encryption significantly mitigates this)

7. SERVICE AVAILABILITY AND MODIFICATIONS

We strive to maintain 99.5% uptime but make no guarantee of uninterrupted service. We reserve the right to:

• Perform maintenance, updates, or repairs requiring temporary service suspension
• Modify, suspend, or discontinue features with 30 days' notice (or immediately for security reasons)
• Restrict, suspend, or terminate user accounts for Terms violations or security concerns
• Change pricing, introduce new features, or discontinue free services (with advance notice)
• Limit service availability in certain geographic regions due to legal restrictions

Service Discontinuation: In the event Virexa Private is discontinued, we will provide 90 days' notice and reasonable access to export data.

8. THIRD-PARTY SERVICES, LINKS, AND INTEGRATIONS

Virexa Private may contain links to third-party websites, services, applications, or content. We are not responsible for:

• Third-party content, accuracy, or legality
• Third-party privacy practices or data handling
• Third-party terms of service or policies
• Availability, functionality, or security of third-party services
• Your interactions, transactions, or disputes with third parties

Use of third-party services is entirely at your own risk and subject to their terms and privacy policies. You are responsible for reviewing third-party terms before use.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Virexa Technologies, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your content or conduct
• Intellectual property infringement claims related to Your Content
• Your use of the Service in violation of these Terms

We will provide notice of such claims and cooperate with your defense.

10. TERMINATION AND ACCOUNT DELETION

10.1 User-Initiated Termination

You may terminate your account and stop using the Service at any time by:

• Deleting the Virexa Private application from your device
• Contacting Support@Resent.app with your username and request to delete your account
• Using the account deletion feature in Settings (if available)

Upon termination, your account will be deactivated and associated data will be permanently deleted within 30 days, except where retention is required by law.

10.2 Company-Initiated Termination

We may suspend or terminate your account if:

• You violate these Terms or our Privacy Policy
• You engage in abuse, harassment, illegal activity, or harm to others
• Your account poses a security or operational risk
• Your account is dormant for more than 12 months (we provide notice before deletion)
• We are required to do so by law

10.3 Effect of Termination

Upon termination:

• Your right to use the Service terminates immediately
• Your account data is deleted within 30 days (except where legally required to retain)
• Encrypted messages already delivered to other users cannot be recovered
• You remain liable for any violations of these Terms

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflicts of law principles.

However, users in the EU/EEA, Canada, and other jurisdictions retain all protections under their mandatory local laws that cannot be waived by agreement. In case of conflict, local mandatory laws take precedence.

11.2 Dispute Resolution and Arbitration

Before Litigation:

We encourage good-faith negotiation to resolve disputes. If you have a concern:

• Contact us at Legal@Resent.app with details of the dispute
• Allow 30 days for good-faith negotiation
• If unresolved, disputes may proceed to mediation or arbitration

11.3 EU/EEA Residents

EU/EEA residents may utilize the European Commission's Online Dispute Resolution platform: https://webgate.ec.europa.eu/odr/

11.4 Class Action Waiver

To the extent permitted by law, any dispute will be resolved on an individual basis, not as a class action, representative action, or collective action. Class action claims are waived except where prohibited by law.

12. EXPORT COMPLIANCE AND ENCRYPTION

Virexa Private uses encryption technology subject to US export control laws. You agree not to:

• Export or re-export the Service to prohibited countries (per US government embargo lists)
• Provide the Service to prohibited end-users or for prohibited end-uses (weapons, nuclear, biological development, terrorism)
• Use the Service in violation of US export laws, regulations, or sanctions
• Circumvent encryption or export controls

These restrictions apply regardless of your citizenship or location.

13. LAW ENFORCEMENT REQUESTS AND LEGAL PROCESS

If we receive a valid legal subpoena, court order, warrant, or other lawful process, we do not share sensitive information. The only information we can produce is the username and last-seen timestamps. We cannot reproduce other account records because we do not collect them.

• Valid Legal Process: We require a subpoena, court order, warrant, or other valid legal process
• What We Can Produce: Username and last-seen timestamps only
• Cannot Be Produced: Messages and message content, call history, the people book, account access, credentials, sessions, and similar records. We cannot reproduce these because we do not collect them
• User Notice: When a request is made about an account, we notify that person inside Virexa Private by sending a message to their own account from the username resent_legal_notifications, displayed as Virexa Private Legals
• No Content Access: Due to end-to-end encryption, we cannot provide decrypted message content even with valid legal process

Important: We cannot reproduce messages, call history, the people book, account access, or similar records because we do not collect that information. Username and last-seen timestamps are the limit of what we hold and can disclose.

14. INTELLECTUAL PROPERTY INFRINGEMENT AND COPYRIGHT

If you believe Your Content infringes third-party intellectual property rights, or if you are a rights holder who believes Your Content is being infringed:

We respond to valid claims consistent with applicable law. False claims may result in legal liability.

15. BETA FEATURES AND FEEDBACK

Features labeled as "beta," "experimental," "test," or "preview" are not final and may change, have bugs, or be discontinued without notice. Use at your own risk.

Feedback and Suggestions: If you submit bug reports, feature suggestions, or feedback, you grant Virexa Private a perpetual, royalty-free, worldwide license to use such feedback without compensation or attribution.

16. ACCESSIBILITY

Virexa Private is committed to accessibility and strives to comply with:

• Web Content Accessibility Guidelines (WCAG) 2.1 Level AA
• Americans with Disabilities Act (ADA) requirements
• Equivalent accessibility standards in your jurisdiction

17. SEVERABILITY AND WAIVER

17.1 Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, severed. All other provisions remain in full force and effect.

17.2 Waiver

No waiver of any provision of these Terms is effective unless in writing and signed by an authorized representative of Virexa Private. Failure to enforce any right does not constitute waiver of that right.

18. ENTIRE AGREEMENT

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Virexa Technologies regarding the Service. All previous negotiations, agreements, understandings, and representations are superseded. No oral or written statement, representation, or promise not contained in these Terms is binding.

20. JURISDICTIONAL NOTICES

20.1 United States Users

These Terms comply with US federal law and Delaware state law. California residents have additional rights under California law that are preserved.

20.2 Canadian Users

These Terms comply with applicable Canadian federal and provincial laws, including PIPEDA and the Personal Information Protection Act in provinces where applicable. Your rights under these laws are preserved.

20.3 EU/EEA Users

These Terms comply with GDPR, ePrivacy Directive, and other applicable EU/EEA laws. Your rights under these laws cannot be waived. In case of conflict between these Terms and mandatory EU/EEA law, the EU/EEA law prevails.

20.4 United Kingdom Users

These Terms comply with UK data protection law and other applicable UK regulations. Your rights under UK law are preserved.

21. SURVIVAL

Sections that by their nature should survive termination of these Terms (including Limitation of Liability, Indemnification, Intellectual Property, Governing Law, and any payment obligations) will survive termination or expiration of your account.

22. LAST UPDATED AND EFFECTIVE DATE

These Terms of Service are effective as of 9/19/2026 and were last updated on 9/19/2026.
